These Terms & Conditions explain how the Swash Studio Referral Program works. By joining the program, you agree to the terms below.

1. THE PROGRAM

The Swash Studio Referral Program allows participating Referral Partners to earn commission by introducing potential clients to Swash Studio.

Joining is completely optional. There is no cost, required number of referrals, or ongoing promotional commitment. You may stop referring people at any time.

2. JOINING THE PROGRAM

To join, you must complete the Referral Program sign-up form, provide accurate contact and PayPal information, and agree to these Terms & Conditions.

Within 1–3 business days, Swash Studio will email you to confirm that you have joined and provide any helpful program information.

You may also request branding and website service guides to share with potential referrals. These materials are completely optional. You are not required to promote Swash Studio, use the guides, or send a certain number of referrals.

Participation is subject to acceptance by Swash Studio. We may decline or remove participation when reasonably necessary to protect the studio, its clients, or the integrity of the program.

3. NON-EXCLUSIVE PARTICIPATION

The Referral Program is non-exclusive. Referral Partners are free to recommend, work with, or participate in programs offered by other businesses.

Someone you refer to Swash Studio may also join the Referral Program and earn commission on projects they refer. Referring someone does not give you exclusive rights over that person, their network, or referrals they may make themselves.

Referral Partners cannot earn commission by referring themselves or joining the program to receive commission on their own project.

4. HOW REFERRALS ARE RECORDED

A referral may be recorded when:

* You introduce the potential client to Swash Studio by email.
* The potential client names you when contacting Swash Studio.
* The potential client names you during their first call with Swash Studio.
* You notify Swash Studio of the connection before the client officially books the applicable project.

If the client forgets to mention your name and you did not make an email introduction, you must notify us before they officially book that specific project. Referrals cannot be added or reassigned retroactively after the project has been booked.

If more than one person claims the same referral, credit will be given to the person named by the client or, when that is unclear, the person who made the first documented introduction.

For these terms, a project is considered “booked” once the client has accepted the project agreement and made the required initial payment.

5. COMMISSION PER PROJECT

Referral Partners earn 10% commission on every completed project they refer. Commission is paid per project, not only once per client, and there is no limit to the number of commissions a Referral Partner may earn.

If a properly recorded referred client books more than one separate project with Swash Studio, the Referral Partner may earn commission on each project.

Commission is calculated from the final amount paid to Swash Studio for its design services. Taxes, refunds, chargebacks, reimbursed expenses, and separately itemized third-party costs such as software, hosting, fonts, stock assets, or outside services are not included in the commission calculation.

6. WHEN COMMISSION IS EARNED

Commission is earned only after:

* The referred client has officially booked.
* The project has been completed.
* Swash Studio has received full payment for the project.
* The applicable 14-day waiting period has passed.

A project is considered complete when the agreed deliverables have been provided and Swash Studio has marked the project complete.

Canceled, refunded, disputed, charged-back, or unpaid projects do not earn commission.

If Swash Studio returns part of a client’s payment, the commission will be calculated using only the amount Swash Studio ultimately retains for completed design services.

7. PROJECT ACCEPTANCE AND AVAILABILITY

Swash Studio decides which projects it accepts based on fit, scope, availability, and other business considerations.

A referral does not guarantee that the prospective client will be accepted or that their project will begin immediately.

Projects are scheduled according to Swash Studio’s availability. If you refer several clients around the same time, their projects may begin and finish during different months.

Each commission follows the schedule of its specific project and is paid only after that project is complete and fully paid. Referring multiple projects during the same month does not mean that all related commissions will be paid at the same time.

Referral Partners cannot promise pricing, availability, start dates, timelines, deliverables, or acceptance on behalf of Swash Studio.

8. REFERRAL UPDATES

Referral Partners will receive email updates at the important stages of the process:

* When the referral is recorded under their name.
* If the referral officially books, along with the estimated project completion month.
* When the project is complete, including the final amount used to calculate commission, the exact commission amount, and the scheduled payment date.
* When the PayPal payment has been sent.

Project timelines are estimates and may change because of revisions, client delays, additional requests, scheduling changes, or other circumstances.

The estimated completion month is not a guaranteed commission date. The exact payment date will be confirmed once the project is complete, fully paid, and eligible for commission.

9. PAYMENT SCHEDULE

Commission payments are sent through PayPal only.

Once a project is complete and fully paid, 14 days must pass before the commission becomes eligible for payment. The commission will then be scheduled for the next available first Monday of the month.

Payments are normally initiated on the first Monday of the month. If the first Monday falls on a holiday, or PayPal processing is temporarily unavailable, payment may be initiated on the next business day.

The exact scheduled payment date will be included in the commission confirmation email.

PayPal may require additional processing time after Swash Studio sends the payment. Swash Studio does not control PayPal’s processing times, currency conversion, account restrictions, or recipient fees.

The Referral Partner is responsible for providing and maintaining a valid PayPal account and accurate PayPal email address. Incorrect or incomplete payment information may delay payment.

10. TRANSPARENCY AND CLIENT PRIVACY

Swash Studio will provide clear commission updates throughout the referral process.

When a referred project is complete, the Referral Partner will receive:

* The final project amount used to calculate the commission.
* The 10% commission calculation.
* The exact commission total.
* The scheduled payment date.
* Confirmation once the payment has been sent.

This transparency does not include access to the referred client’s private information.

Referral Partners will not receive copies of client contracts, questionnaires, invoices, payment information, project communications, deliverables, or other confidential information.

Only the information needed to confirm the referral, explain the commission calculation, and process payment will be shared.

11. PROMOTION IS OPTIONAL

Referral Partners are not required to advertise Swash Studio, post publicly, meet referral quotas, or perform ongoing promotional work.

You may simply share Swash Studio when it naturally makes sense, make a private email introduction, or ask someone to mention your name when they reach out.

You may stop referring people at any time, with no cost, obligation, or questions asked.

If you choose to promote Swash Studio publicly, you must communicate honestly and clearly disclose that you may receive a referral commission. Any public recommendation must reflect your genuine experience or opinion.

12. PROMOTIONAL GUIDELINES

Referral Partners may:

* Make personal introductions.
* Share Swash Studio’s website or service guides.
* Share promotional materials provided or approved by Swash Studio.
* Talk honestly about their experience working with Swash Studio.

Referral Partners may not:

* Misrepresent Swash Studio’s pricing, services, availability, process, or results.
* Promise discounts, deliverables, timelines, or outcomes on Swash Studio’s behalf.
* Make false, misleading, or unsupported claims.
* Use spam, deceptive advertising, or unsolicited bulk messages.
* Present themselves as an employee, agent, or official representative of Swash Studio.
* Register domains, business names, advertisements, or social media accounts using Swash Studio’s name or confusingly similar wording.
* Use Swash Studio’s branding or materials to promote unrelated services.

Swash Studio makes all decisions regarding prospective clients, project availability, pricing, scope, proposals, scheduling, and whether to accept a project.

13. INDEPENDENT RELATIONSHIP

Participation in the Referral Program does not create an employment, partnership, joint venture, agency, or contractor relationship.

Referral Partners participate independently and have no authority to enter into agreements, make promises, negotiate pricing, schedule projects, or accept payments on behalf of Swash Studio.

14. PROGRAM MATERIALS AND INTELLECTUAL PROPERTY

Swash Studio retains ownership of its name, brand, graphics, service guides, templates, website content, and promotional materials.

Referral Partners receive a limited, non-exclusive, revocable right to use approved materials only for making referrals through this program.

Materials may not be sold, altered in a misleading way, presented as the Referral Partner’s own work, or used to promote another business.

This permission ends when participation in the program ends.

15. CONFIDENTIALITY AND PRIVACY

Any non-public business, client, pricing, project, or operational information shared through the program must remain confidential.

Referral Partners may not share private information about a referred client without that person’s permission.

Swash Studio will use the information submitted through the program to administer referrals, send status updates, process commissions, maintain business records, and meet applicable legal or tax obligations.

16. TAXES AND PAYPAL FEES

Referral Partners are responsible for reporting and paying any taxes, PayPal fees, currency-conversion costs, or other charges associated with their commissions.

Swash Studio does not withhold taxes unless legally required to do so.

17. ENDING PARTICIPATION

Referral Partners may stop participating at any time, with no questions asked.

Swash Studio may suspend or end participation for fraud, misleading promotion, abuse of the program, breach of these terms, conduct that could harm Swash Studio or its clients, or other legitimate business reasons.

Properly recorded referrals that booked before ordinary termination will remain eligible for commission if their projects are completed and fully paid.

This does not apply to referrals involving fraud, false information, prohibited conduct, or other violations of these terms.

After participation ends, the Referral Partner must stop using Swash Studio’s private program materials and remove any branding or content when requested.

18. PROGRAM CHANGES

Swash Studio may update, pause, or discontinue the Referral Program.

Material changes will be communicated by email or posted with updated terms.

Changes will apply going forward and will not reduce the agreed commission rate for a project that was already properly recorded and booked before the change took effect.

Continued participation after updated terms take effect means the Referral Partner accepts those updated terms.

19. NO GUARANTEED EARNINGS

Swash Studio does not guarantee that a referral will inquire, book, complete a project, or generate commission.

Examples shown on the Referral Program page are based on starting prices and are provided only to illustrate potential commission amounts.

Actual commissions depend on the final amount paid for each completed project.

20. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Swash Studio will not be responsible for indirect, incidental, special, or consequential losses connected to participation in the Referral Program.

Swash Studio’s total liability relating to a specific referral will not exceed the commission payable for that referral.

21. SEVERABILITY

If any part of these terms is found invalid or unenforceable, the remaining provisions will continue to apply.

22. ENTIRE AGREEMENT

These Terms & Conditions, together with the Referral Program sign-up form and any written program updates, represent the complete agreement between Swash Studio and the Referral Partner regarding the program.
